Terms of Service

BY ACCESSING, BROWSING OR USING HTTPS://SCIENCEPROTOCOL.COM/, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THESE TERMS OF USE.

If you are using the Service on behalf of an entity or other organization, you are agreeing to these Terms of Service for that entity or organization and representing to Science Protocol that you have the authority to bind that entity or organization to these Terms of Service (and, in which case, the terms “you” and “your” will refer to that entity or organization). If you do not accept the terms and conditions of these Terms of Service, you will not access, browse or otherwise use the Service.

You understand and agree that we may amend these Terms at any time at our sole discretion. “Last Updated” section at the beginning of these Terms will reflect the last date when such amendments are made, which shall be effective immediately, unless explicitly stated otherwise. It is your responsibility to check these Terms and remain informed of any amendments as long as you continue accessing or using the Website or any Services.

PLEASE READ THESE TERMS OF SERVICE CAREFULLY, AS THEY CONTAIN AN AGREEMENT TO ARBITRATE AND OTHER IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THE AGREEMENT TO ARBITRATE REQUIRES (WITH LIMITED EXCEPTION) THAT YOU SUBMIT CLAIMS YOU HAVE AGAINST US TO BINDING AND FINAL ARBITRATION, AND FURTHER (1) YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST SCIENCE PROTOCOL ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING, (2) YOU WILL ONLY BE PERMITTED TO SEEK RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS, AND (3) YOU MAY NOT BE ABLE TO HAVE ANY CLAIMS YOU HAVE AGAINST US RESOLVED BY A JURY OR IN A COURT OF LAW.

If any provision of these Terms is determined to be invalid or unenforceable under any rule, law, or regulation of any local, state, or federal government agency, such provision will be changed and interpreted to accomplish the objectives of the provision to the greatest extent possible under any applicable law and the validity or enforceability of any other provision of these Terms shall not be affected.

Science Protocol, (“Science Protocol,” “we,” “us,” or “our”) provides a website-hosted user interface (the “Interface”) for accessing Science Protocol, an Ethereum layer 2 build on Optimism OP Stack,  and related content and functionality to you through our websites located at https://scienceprotocol.com/, and any other website operated by Science Protocol on which these Terms of Service are posted (collectively, the “Site”) and through our related technologies (collectively, the Interface, Protocol and Site, including all existing and any updated or new features, functionality and technology, the “Service”).

You understand and agree that the Website is only an interface for the community of users and developers interested in or contributing to the infrastructure, code and development of SCIENCE PROTOCOL (the “Community”). 

Access to the Website

 You have the right to use the Website and any Services as long as you comply with these Terms. You represent and warrant that:

  1. you are 13 years of age or older or you have the capacity to contract under applicable law; 
  2. you are not a Restricted Person, or that you are not otherwise prohibited by applicable law from using the Website or Services; 
  3. you represent and warrant that you will not use the Website if the laws of your country prohibit you from doing so and; 
  4. you access or use the Website or Services for your own personal use.

 

We may, at any time, modify, suspend, or cancel the Website or Services or any portion of it in our sole discretion, without prior notice, and to block or prevent your future access to the Website or use of the Services.

Intellectual Property Rights

The Website and all content on the Website, including any logos, designs, information, data, text, images, links, sounds, graphics, videos, and other materials, and the selection and arrangement thereof, contained therein are property of SCIENCE PROTOCOL, our Affiliates or the property of our licensors or other providers of such material and are protected under the intellectual property or proprietary laws.

The SCIENCE PROTOCOL name, SCIENCE PROTOCOL logo and all related names, logos, product and service names, designs and slogans (“SCIENCE PROTOCOL MARK”) are trademarks owned by us. Nothing on the Website should be construed as granting, by implication, estoppel, or otherwise, any license or right to use, copy, or imitate, in whole or in part, any trademark displayed on the Website, without our written permission.

You cannot create or register any businesses, URLs, domain names, software application names or titles, or social media handles or profiles that include SCIENCE PROTOCOL Marks or any confusingly or substantially similar mark, name, title, or work or apply to register, reference, use, copy, and/or claim ownership in SCIENCE PROTOCOL Marks in any manner for any purposes, alone or in combination with other letters, punctuation, words, symbols, designs, and/or any creative works, or in any manner that disparages or discredits the SCIENCE PROTOCOL Marks.

Indemnification and Release

You agree to defend, indemnify, and hold harmless SCIENCE PROTOCOL, its affiliates, and its and their respective officers, employees, directors, service providers, licensors, and agents (collectively, the “SCIENCE PROTOCOL Parties”) from any and all losses, damages, expenses, including reasonable attorneys’ fees, rights, claims, actions of any kind, and injury (including death) arising out of or relating to your use of the Service, Your Apps, any User Content, your connection to the Service, your violation of these Terms of Service, or your violation of any rights of another. SCIENCE PROTOCOL will provide notice to you of any such claim, suit, or proceeding. SCIENCE PROTOCOL reserves the right to assume the exclusive defense and control of any matter which is subject to indemnification under this section, and you agree to cooperate with any reasonable requests assisting SCIENCE PROTOCOL’ defense of such matter. You may not settle or compromise any claim against the SCIENCE PROTOCOL Parties without SCIENCE PROTOCOL’ written consent.

You expressly agree that you assume all risks in connection with your access and use of the Service, including your interaction with the Protocol. You further expressly waive and release us from any and all liability, claims, causes of action, or damages arising from or in any way relating to your use of the Service, including your interaction with the Protocol. If you are a California resident, you waive California Civil Code Section 1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or releasing party.” If you are a resident of another jurisdiction, you waive any comparable statute or doctrine.

Third-Party Services​

The Services may provide access to services, sites, technology, applications and resources that are provided or otherwise made available by third parties (“Third-Party Services”). Your access and use of Third-Party Services may also be subject to additional terms and conditions, privacy policies, or other agreements with such third parties. SCIENCE PROTOCOL has no control over and is not responsible for such Third-Party Services, including for the accuracy, availability, reliability, or completeness of information or content shared by or available through Third-Party Services, or on the privacy practices of Third-Party Services. We encourage you to review the privacy policies of Third-Party Services prior to using such services. You, and not SCIENCE PROTOCOL, will be responsible for any and all costs and charges associated with your use of any Third-Party Services. The integration or inclusion of such Third-Party Services does not imply an endorsement or recommendation. Any dealings you have with third parties while using the Services — including if a Third-Party Service may have infringed your intellectual property rights — are between you and the third party. SCIENCE PROTOCOL will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any Third-Party Services.

Prohibited Uses

You may not use the Website or any Services in order to further any breach of applicable laws or regulations;and use the Website or any Services to interfere with or subvert the rights or obligations of SCIENCE PROTOCOL or its Affiliates, or the rights or obligations of any other Website User or any other third party. You may not take advantage of any technical glitch, malfunction, failure, delay, default, or security breach on the Website or any Services; and use the Website or any Services to engage in conduct that is detrimental to SCIENCE PROTOCOL or its Affiliates, or to any other Website user or any other third party;also reverse-engineer, decompile, or disassemble any close-sourced or proprietary software running on the Website.

You may not attempt to harm SCIENCE PROTOCOL, any Website User or any third party through your access to the Website or any Services, except that nothing in this subparagraph shall be construed as limiting your free speech rights under applicable law; and attempt to impersonate another Website User or Person; also transmit, or procure the sending of any advertising or promotional material without our prior written consent, including any junk mail, chain letter, spam or any other similar solicitation.

You may not use the Website or any Services, if you are a resident or national of a country where access to the Website or any Service is not allowed under local laws. If you access the Websites, you always do so on your own initiative and are responsible for compliance with local laws; and “hotlink” any SCIENCE PROTOCOL Marks, or any content on the Website on any other websites without our prior written approval. Any use as described in this paragraph shall constitute a“Prohibited Use”. If we determine that you have engaged in any Prohibited Use, we may address such Prohibited Use at our own discretion.
